These Terms and Conditions of Service ("Terms") govern all website design, development, hosting, maintenance, and related digital services provided by TJS Webs ABN: [Pending Registration] ("TJS Webs", "we", "us", "our") to any individual or entity ("Client", "you"). By purchasing a service, paying a deposit, or instructing us to commence work, you confirm that you have read, understood, and agree to be bound by these Terms.
These Terms are intended to comply with the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), the Privacy Act 1988 (Cth), and all other applicable Australian laws and regulations.
1. Agreement to Terms
By purchasing any service from TJS Webs — including but not limited to website design, development, hosting, domain registration, and maintenance bundles — the Client agrees to be bound by these Terms and Conditions. Please read this document carefully before completing your purchase.
2. Website Ownership
The Client retains full ownership of the website and all of its content, including but not limited to text, images, logos, and branding. TJS Webs makes no claim of ownership over any website created or maintained on behalf of the Client.
Upon receipt of final payment in full, TJS Webs assigns to the Client all intellectual property rights in the Deliverables created specifically for the Client. Until final payment is received, TJS Webs retains ownership of all work produced and grants no licence to publish or launch the website.
TJS Webs acts solely as the technical custodian of the Client's website, managing hosting, domain registration, and related infrastructure on the Client's behalf as part of the purchased bundle. TJS Webs retains the right to display completed work as portfolio material unless the Client requests otherwise in writing.
Third-party assets (stock photography, fonts, plugins, and software) remain subject to their respective licence terms, which will be disclosed to the Client.
3. Hosting & Maintenance Bundle
All domain registration, web hosting, maintenance, and upkeep included in the Client's bundle is managed entirely by TJS Webs. The Client is not required to manage or access any technical accounts. TJS Webs handles all technical aspects on the Client's behalf.
Where the Client subscribes to an ongoing monthly bundle (Essential or Pro), the following apply:
- The bundle activates on the date of first payment and renews monthly in advance.
- TJS Webs will manage hosting infrastructure, domain renewals, software updates, and routine backups as included in the selected bundle.
- Website changes included in the Pro Bundle are subject to reasonable use. Changes requiring significant development work (e.g. new features or structural redesigns) will be quoted separately.
- TJS Webs is not liable for service interruptions, data loss, or security breaches caused by third-party hosting or infrastructure providers.
- TJS Webs reserves the right to adjust bundle pricing with 30 days written notice to the Client.
4. Payment & Renewal
All fees are quoted in Australian Dollars (AUD) and are inclusive of GST where applicable. A tax invoice will be issued for all payments. Accepted payment methods include direct bank transfer (EFT) and any other method confirmed in writing by TJS Webs.
- For website build projects, a deposit of 50% is required before work commences. The remaining balance is due prior to the website going live.
- Bundle fees are due on the agreed billing date each month.
- Failure to pay within 14 days of the due date may result in the website being taken offline until payment is received.
- Failure to pay within 30 days of the due date may result in non-renewal of the domain name. TJS Webs is not responsible for the loss of a domain name due to the Client's non-payment.
- Invoices outstanding beyond 14 days may attract a late fee of 5% of the outstanding amount per 14-day period until paid.
5. Cancellation & Website Transfer
The Client may cancel their bundle at any time by providing at least 30 days written notice to TJS Webs. Cancellation takes effect at the end of the then-current billing period. No refund is issued for a billing period already paid.
Upon cancellation:
- TJS Webs will provide the Client with all website files, content, and data.
- The domain name will be transferred to the Client or a registrar of the Client's choosing.
- A one-time transfer fee of AUD $150 applies to cover the time required to complete the handover process.
- Transfer will be completed within 7 Business Days of receiving written cancellation notice and payment of the transfer fee.
For website build projects cancelled before commencement, the deposit will be refunded in full. If cancelled after work has commenced, the deposit is non-refundable and any work completed beyond the deposit value will be invoiced at our standard rate.
6. Delivery Timelines
Estimated delivery timelines are provided per package or custom quote and commence once the deposit is received and all required Client content is provided. Timelines are good-faith estimates and not a guarantee of completion by a specific date. TJS Webs will communicate any anticipated delays promptly. Delays caused by the Client's failure to provide content or approvals within agreed timeframes extend the delivery timeline accordingly.
7. Client Responsibilities
The Client agrees to:
- Provide all required content, materials, and assets within 7 Business Days of project commencement.
- Review and respond to design previews and revision requests within 5 Business Days.
- Ensure all content provided is accurate, lawful, and does not infringe the rights of any third party.
- Obtain all necessary licences and permissions for any third-party materials supplied to TJS Webs.
8. Revisions
Each package includes a specified number of revision rounds. A revision round is a single consolidated list of changes submitted in one written communication. Revisions that materially alter the agreed scope will be quoted separately. Additional revision rounds beyond those included are available at our standard rate, confirmed in writing before proceeding.
9. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a resupply of services or a refund if services fail to meet a consumer guarantee, and to compensation for any other reasonably foreseeable loss. Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Australian Consumer Law.
To the extent permitted by law, our liability for any failure to comply with a consumer guarantee that does not relate to a major failure is limited to resupplying the relevant services or paying the cost of having those services resupplied.
10. Limitation of Liability
To the maximum extent permitted by applicable law, TJS Webs' total liability to the Client for any claim shall not exceed the total fees paid by the Client for the specific project or bundle to which the claim relates. TJS Webs is not liable for any indirect, consequential, or loss-of-business damages, and does not guarantee any specific business outcome, search engine ranking, or increase in traffic or sales.
11. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party in connection with the engagement and not to disclose it to any third party without prior written consent, except where required by law. This obligation survives termination of the engagement.
12. Privacy
TJS Webs collects and handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Information collected is used solely for providing services and communicating with the Client. We do not sell personal information to third parties.
13. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution by good-faith negotiation within 14 days of written notice. If unresolved, either party may refer the matter to mediation through a recognised Australian mediation service before commencing legal proceedings. Nothing in this clause prevents a party from seeking urgent injunctive relief.
14. Governing Law
These Terms and Conditions are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the jurisdiction of the courts of New South Wales.
15. Amendments
TJS Webs reserves the right to amend these Terms at any time. Updated Terms will be published with a revised effective date. The version in effect at the time of purchase governs that engagement.
16. Entire Agreement
These Terms, together with any accepted quote or project brief, constitute the entire agreement between the parties and supersede all prior discussions and agreements. No variation is effective unless made in writing by an authorised representative of TJS Webs.
